South32 Limited has a number of subsidiaries who have interests in and/or manage certain Australian joint venture projects.  Where a South32 Group member manages such a project on behalf of other parties to the joint venture, South32 Limited and/or one or more of its subsidiaries may engage with Government and other stakeholders on behalf of these parties.  South32 Limited is registering these activities on behalf of itself and its subsidiary entities (together, the “South32 Group”) who may from time to time engage in relevant activities on behalf of fellow joint venture participants who may be foreign principals under the Act.

South32 Group members may engage in parliamentary lobbying, on behalf of the joint venture participants, on issues relating to the joint venture.

1. Eagle Downs Coal Management Pty Ltd is ultimately 100% owned by South32 Limited. 
2. South32 Eagle Downs Pty Ltd is ultimately 100% owned by South32 Limited. 
3. South32 Eagle Downs Pty Ltd and Aquila Coal Pty Ltd are joint venture participants in the Eagle Downs Metallurgical Coal Joint Venture. 
4. South32 Eagle Downs Pty Ltd, Eagle Downs Coal Management Pty Ltd and Aquila Coal Pty Ltd are parties to a joint venture management agreement.
5.  Members of the South32 Group, which comprises South32 Limited and its subsidiaries, may from time to time engage in activities (including pursuant to services arrangements connected with the joint venture) on behalf of joint venture participants who may be foreign principals under the Act.
